Have you developed your acquisition criteria yet? Acquisitions have a bad name. The press love to play up the negative stories and there are plenty to choose from! In my experience, many acquisitions should never have taken place! A classic example was my client William. He had a successful distribution business that was well organised and disciplined, providing a decent return in a tough market. William heard that a competitor was struggling - he knew the people and knew they were getting older. He jumped in with both feet and made an offer that the competitor was only too happy to accept. Then the problems emerged. William hadn't done his due diligence properly and there were some underlying issues with the new business. Fixing those distracted his team from running the main business. Both businesses suffered a downturn. That's when I was asked to help. William didn't have any acquisition criteria or much of a plan. We created a plan to ensure that the two businesses worked together and were able to reduce some of the costs. It was painful but we achieved stability and then growth. William would tell you now that he should not have bought that business. I think he could have saved himself some heartache - and a lot of money - if he had developed the acquisition criteria and the plan before jumping in with both feet!
