It was great to be part of this timely discussion looking ahead to the 2024 proxy season, hearing from Tori Hack, Tanya Levy-Odom and Aeisha Mastagni. Thanks to the NACD Northern California Chapter for co-hosting. Key questions for board members included: --Is the company disclosing according to commonly-accepted and widely-used frameworks such as TCFD? If not, why not? --Are we telling our story [about material non-financial risks and opportunities, and board governance] clearly and transparently? --What are the gaps between our current disclosures and processes, and the regulatory requirements in place or on the way? How are those gaps being addressed? --Do we understand the priorities of our top investors? What questions and feedback have we received from them? In our last post of our PRI explained series, we explained how corporate governance ideally looks like. 🕵️ Today, we will share some insights into investor engagement, to help scale-ups further understand the approach of the finance sector. 👇 Investor engagement can be understood as the proactive and reactive interactions between investors and companies to influence ESG practices and disclosures 🤝. From letters and meetings to visits and participation in roadshows: Engagement is key 🔑. Investors typically engage to fulfil fiduciary duty, exercise shareholder rights, and influence corporate practices for real-world impacts aligned with the SDGs. An active ownership approach in listed equity involves encouraging companies to manage ESG issues, enhance disclosure, and improve corporate practices ♻️🔨. In general, engagement can be issue-focused (e.g., corruption) and company-focused, while reactive engagement addresses crises.
