We advised our long-standing clients - the Continuum Green Energy Group in connection with issuance of U.S.$650,000,000 7.50% Senior Secured Notes due 2033 under Regulation S/ Rule 144A of the U.S. Securities Act of 1933 (Notes). The Notes are listed on the Global Securities Market of India International Exchange (IFSC) Limited and represent external commercial borrowings availed by the 8 subsidiaries of Continuum Green Energy Group. Our Firm also acted as Indian counsel to Continuum Green Energy Group in connection with a tender offer for purchase of outstanding U.S.$561,000,000 4.50% Senior Notes due 2027 listed on Singapore Exchange, issued by Continuum Energy Levanter Pte. Ltd. in 2021. The UK’s energy, utilities and resources sectors recorded over £18.2bn of M&A activity in 2023, according to new data from PwC’s Global M&A Industry Trends 2024 outlook. Deal value was driven by a small number of large upstream deals, as well as continuing investment in the energy transition. What's interesting for me is that energy transition M&A in the UK is weighted towards established and mature businesses that represent lower-risk investments, rather than earlier-stage businesses that need capital to commercialise new solutions and make them cost competitive. We estimate that around 45% of the decarbonisation needed in the UK will have to come from technologies that are not yet commercially mature.
