In supporting and studying M&A, I've seen far too many acquirers fail to capture the value of synergies. Looking back over 15 years of data, a startling discovery is that buyers in public M&A deals retained only half of synergies. They paid the remainder to targets’ shareholders in the purchase price.     My experience, reinforced by BCG’s extensive research, has taught me that before a deal even commences, meticulous outside-in analysis can greatly aid the accuracy of synergy estimates. This proactive approach yields clarity during due diligence, ensuring the value isn’t diluted due to overpayment.     Yet inking a deal is just the beginning. With time typically of the essence, acquirers need a swift transition toward synergy capture. The use of a "clean team" has proved invaluable in handling sensitive data that sharpens synergy estimates. However, the most formidable challenge remains in execution. We know that it‘s more challenging to put a deal together in uncertain times. The same lower valuations that appeal to buyers make the most attractive targets reluctant to sell. And today’s higher interest rates will affect deal economics.  But with so much dry powder on balance sheets—and so many companies aspiring to reinvent themselves to address critical megatrends such as the imperative for digital transformation and the existential challenge of climate and sustainability—deals will get done.
