What a messed up culture. (Note: We all know not all KPMG employees have ethical challenges, and many are great, competent, and skilled folks. This is an observation about a culture that condoned such activity, allegedly from the highest levels.)

Ever wondered what Corporate Governance is? 🤔 Haven't you heard this term a lot? In my MBA journey, I recently completed a module on Corporate Governance and discovered its critical role in the business world. Let me break it down for you: You must know, that public companies (companies listed on the stock exchange) are owned by shareholders. Hence, these shareholders should know what is happening in the company to stay invested. Corporate Governance is a set of rules detailing how public limited (liability) companies should be run ensuring that the management does not abuse the power. Every country has a regulatory body governing these public companies. In the UK it's FRC, in India it's SEBI and in the USA it’s the SEC. These institutes set the operations standards that the directors must enforce and report on in the annual reports. These standards (rules) and the structures are called corporate governance. In the UK and most countries, the board is the ultimate power to which the CEO and CFO report. It is a team that represents the shareholder's interest and sets the strategy and vision of the company.
