However, the medtech sector recorded a new #investment high, and the number of #financing rounds remained relatively stable. #Investors expect an upturn for 2024.

Bringing investors on-board your business venture is surely exciting and promising. It paves new paths for growth and expansion. However, once the objective of investment has been achieved, getting a desirable exit is what the investor really looks at. It is not so easy for an investor to sell their shares in a private company because of restriction on transferability of shares. Here, the exit clause of the Shareholder’s Agreement comes into play. The investee company may provide the investors with an option to “exit” the investment post achieving the objective of the investment or conclusion of the period for which the investor came on board, as may be specified in the agreement between them. 🤔 𝑷𝒓𝒊𝒗𝒂𝒕𝒆 𝑬𝒒𝒖𝒊𝒕𝒚 𝒈𝒐𝒆𝒔 𝑺𝒕𝒂𝒓𝒕-𝒖𝒑 𝑰𝒏𝒗𝒆𝒔𝒕𝒎𝒆𝒏𝒕𝒔? According to a recent PitchBook article, private equity funds are increasingly looking for cash-constrained start-ups as add-ons for their portfolio companies. They try to leverage tight liquidity situations of start-ups because funding from venture funds is currently not as available as it was. What attracts private equity funds are in particular the start-up’s IP or its customer base. Still, they are hesitant to acquire any start-ups that do not generate cash-flow as the usual LBO model won’t work in these instances. But if a start-up has done its homework and for instance cut expenses to an extent that it even generates cash, private equity investors may be interested. If a start-up becomes a target for a private equity sponsor, it will try to negotiate a big discount on previous valuations with relatively low multiples. And the more distressed the situation of the start-up, the better the negotiation power of the private equity investor which may be the sole solution to avoid insolvency. When reading the article, I was wondering whether this is a singular phenomenon limited to a small number of deals or whether it’s really a trend. And if it is a trend, is it the US only or are such deals also going on in Europe?
