On Sunday, Puig filed to go public in Spain, betting that an infusion of capital and the “checks and balances” of a listed company structure will unlock the next phase of growth at the fragrance and cosmetics giant. In fashion, many brands and retailers are coming to the opposite conclusion. This week also saw Macy's end its proxy fight with a pair of activist investors, appointing two of their slate of nominees to the department store operator’s board. The new directors will sit on a committee to evaluate the activists’ $6.6 billion takeover bid. Macy’s wasn’t the only company contemplating going private. Austrian billionaire Reinold Geiger is reportedly lining up potential lenders and investors, including the private equity giant Blackstone, to acquire L’Occitane (Geiger is already the beauty conglomerate’s controlling shareholder). There’s more: The Nordstrom family is reportedly mulling taking its namesake department store chain private. Italian shoemaker TOD'S is planning to delist from the Italian stock exchange, eliciting the help of L Catterton, LVMH’s investment arm, which agreed to buy 36 percent of Tod’s shares in February. Struggling direct-to-consumer brands like Allbirds, which recently received a notice from Nasdaq that it would be delisted if it can’t raise its share price, are among other potential takeover targets. The European headquarters has been relocated to Amsterdam, however 40 stores are closing in Germany, Belgium has gone into Insolvency and the Swiss arm is bankrupt with Esprit Ski cased trading. Esprit has seen many seasoned leaders join over the years with various transformation and rejuvenation plans, but all have been unable to turn this iconic brand around. Fabrizio Freda, the longtime chief executive officer of the Estée Lauder Cos., is an avid sailor who has long talked about putting the company in the winds of growth. For years his dual strategy of riding the wave of the Chinese beauty boom, as well as a focus on hero products, paid off, resulting in a share price jump from $16.75 in 2009 when Freda became CEO to a peak of over $370 in January 2022, giving it a market capitalization of more than $133 billion. But now Freda finds himself in choppy waters as he navigates the prestige beauty company through a series of tough challenges, including a precipitous decline in the Chinese and travel-retail markets and what industry insiders contend is a dearth of innovation across its portfolio of brands. All this has sent Wall Street into a frenzy, raising questions about Freda’s future with the family-controlled company and sending Lauder’s share price into a tailspin. Since the beginning of the year, shares have tumbled, recently hovering at a six-year low of $104.51. Frasers Group PLC (LSE:FRAS) is in talks to sell Missguided, its women's clothing label, to China’s Shein for an undisclosed sum. According to a report from Sky News, the two sides are in "detailed negotiations" and have been in talks for several weeks. Founded in 2012, Shein operates in more than 150 countries and is now headquartered in Singapore. It is widely reported to be considering a US initial public offering (IPO). A recent funding round valued the business at about US$66 billion. Shares in Frasers, founded by billionaire shopkeeper Mike Ashley, who is also its leading investor, barely flickered in early trade, nudging 3.5p to 808p. Companies are hurriedly transforming their operations and strategies to reach a more sustainable way of doing business. These changes are often observed in efforts made toward environmental stewardship, social responsibility, and limiting carbon emissions across all scopes. However, we must not neglect a vital piece of the puzzle towards transforming business as usual: disclosure and transparency. In the case of Inditex, owner of well-known brands such as Zara, Stradivarius, Massimo Dutti, and Bershka, the company is denying investors’ wishes to publish its detailed supplier lists, including the names and locations of their factories. This lack of transparency inhibits market actors from conducting supply chain risk analyses, which would allow analysts to research financial and social risks, such as child labor and unlivable wage practices, within the company’s supply chain. This denial to disclose pits Inditex against its main market rivals H&M, Primark, and other fashion retailers, who have already made public these detailed supplier lists.  Stakeholder satisfaction is the foundation of a successful ESG strategy and a critical aspect of the P🌎P Experigame, which takes a deep dive into the varying stakeholders, including investors and other capital actors, who hold companies accountable when they fail to meet disclosure requirements.
