Amid unsettled debates and discussions surrounding which court has original jurisdiction of disputes in the capital markets, the Supreme Court has decisively ended any further speculations by confirming the Investments and Securities Tribunal's (the “IST”) jurisdiction. The Supreme Court's decision clarified the IST's original jurisdiction for capital markets disputes, offering a clear path for legal navigation for stakeholders. This has helped clear much of the fog shrouding the discourse about the role of the IST in capital markets. Moreover, by settling this legal quagmire, the Supreme Court has put to rest the confusion and uncertainty that had gripped the investment and securities industry. The Apex court has essentially offered a roadmap for addressing capital markets disputes, a stabilising beacon amid the chaotic waters of the financial world. Teresa Tomchak, partner, Litigation, spoke at the Capital Markets Tribunal Adjudicators’ Policy Forum on November 20 on a panel that discussed M&A and shareholder activism. She specifically highlighted the overlapping jurisdiction of the courts and the Ontario Securities Commission in M&A and shareholder activism. “The securities commissions face challenges in determining when they have jurisdiction, whether they should exercise their jurisdiction and whether they have jurisdiction to grant the remedies sought,” said Teresa. “With hostile takeover bids playing less of a role in the capital markets and proxy fights increasing over the last 10 years, a significant amount of securities litigation engages corporate law issues which are traditionally matters which the court adjudicates but they may also engage securities law considerations which engage the jurisdiction of the securities commissions.” To view a recording of the policy forum and to learn more, visit the Capital Markets Tribunal website: https://lnkd.in/esP6yzDk #capitalmarkets
