Yesterday, I had lunch with a retired Asia CEO of an MNC. He retired totally from corporate life and said he decided not to renew his membership with SID. He said he was disappointed that SID has refused to take a position on maximum number of directorships. We talked a bit about whether council members have vested interests as they may serve on many boards. Many years ago when I was on the SID council, BT published an article on busy directors and cited my research and comments. It was awkward when I attended the next council meeting as several of the council members were on the list! I’ve shared previously that my suggestion for SID to introduce a guidance on maximum number of directorships an ED can hold many years ago when I was on the council was knocked back because a council member who was in that position objected to it. As a body that aspires to raise CG standards, I have a few suggestions for SID. Firstly, council members should not take directorship opportunities when companies approach SID to search for directors. I’m not saying it’s happening now but they should just publish all such opportunities and council members should not compete with others. If companies approach them directly, that’s a different matter of course. Those who serve on the council should be prepared to make this sacrifice. Secondly, SID council and ex-council members should avoid recommending each other to their boards or as successor IDs when they retire from a board. Many years ago, I even saw a council member joined a company as ID where another council member was ED - and I did not see any reason why he’s the only or even a good choice (eg it’s not like he brought sector experience that was lacking among the IDs). More recently, I’ve observed council and ex-council members succeeding each other as IDs in listed companies. Those council members often have very different backgrounds so it’s not clear the boards have thought through the skills and experience they need. I’m not the only one who’s observed this as others have shared similar concerns with me. This undermines the moral authority of SID to set any best practice encouraging companies to have good search and nominating process and to cast the net wide when searching for directors. Thirdly, council members should serve on boards which practise what they preach. It doesn’t mean they tick every box. But they should not serve on boards which are clearly practising poor governance. They should choose to stay on those boards or stay on the council. If they choose to keep both seats, they harm the reputation of the council and SID.

6 months together, how time flies 💘* It has been 6 months since I was incredibly fortunate to be awarded the Employee Owner of the Year award at the annual eoa conference. It’s also just about three years since I was - again - incredibly fortunate to become an Employee Trustee at Stephens Scown 💕 Both milestones have me in a reflective mood. We’re currently running an election to appoint five new Employee Trustees as the terms of five of our current Employee Trustees end (Dave Robbins, Lexie Williams, Anthony Booth, Kia Pearson and myself). Those of us exiting these roles have given a lot and contributed a lot in that time, for the benefit of our fellow employee-owners and for our business. But I know that by handing over to colleagues new to the positions we will be adding new experience and perspective, not losing it. And, in our time we have raised the bar of what is expected from a Trustee at Stephens Scown – and when we step away the bar will be set to that level as a minimum, and then taken higher yet again by the new group, as we continually evolve our Employee Ownership. Before we part though, there is still the little-old task of delivering an outstanding EO Day event, so we all get to finish our time as Trustees with a bang! 🤯 It has been a pleasure to be of service. #EmployeeOwnership #EmployeeEngagement #Culture *I'm a Film graduate, not that you could tell from this (purposefully) simple piece, and I have never finished a short film with 'Fin' before...until now. But, after the roller-coaster of these 31 seconds, I thought it needed a punchy and charming and romantic ending.
