This is the year of 'Board Refresh'-- but some firms' search for new independent directors is ending with familiar faces. Several listed companies have replaced independent directors with their sons--continuing the family association and thus defeating the intent of fresh perspective on the board or independence. A few others rotated independent directors to another group firm while a few more appointed ex-employees on these positions. Independent directors who have served over 10 years on the board have to mandatorily vacate the position. The grandfathering period provided by the norms ended with FY24.
