More so, to learn and confirm my absolute belief in having enabling regulatory tools and legislations to ‘lay the foundations’ for effective reporting. The write up notes, “the role of law departments in ESG is evolving rapidly, but the lack of a controlled regulatory environment makes policy-making problematic. 90% of law departments report challenges in creating policies where there are no specific regulations connected to environmental issues; and 92% of law departments have difficulty creating policies on social issues when there are no specific regulations to follow.”

Our second alert in the DLA ESG series “Global ESG Regulations: What US companies need to know" discusses the proposed Corporate Sustainability Due Diligence Directive (CSDDD) in EU. CSDDD will establish a duty of corporate due diligence for companies to prevent adverse human rights and environmental impacts in the company’s own operations and across their value chains. CSDDD will have implications for companies across the world since it reaches global value chains of major EU companies. Even if a US company does not fall directly within the scope of CSDDD, it may be implicated if it is part of the value chain of an EU business that is in scope. Some major US companies have already voluntarily undertaken operational and value chain due diligence in accordance with the OECD Guidelines for Multinational Enterprises and the United Nations Guiding Principles on Business and Human Rights (UNGPs). If they are considered in-scope under the CSDDD, US companies should perform a gap analysis between their existing policies and CSDDD requirements.
