NRB has allowed BFIs to issue Perpetual Non-Cumulative Preference Shares and a few conditions are: a) Only institutional investors can hold these, b) BFIs shall issue these shares themselves, and they must be fully paid up, c) Prospectus shall disclose all the terms and conditions like the rate of dividend, whether dividends will be distributed or not, etc., d) Dividends on these shares shall not be distributed from the retained earnings i.e., BFIs may distribute dividends on these shares from the current year profit only, e) Losses may be absorbed using these shares (by converting them into general shares with prior approval of NRB) when a Trigger point is reached, f) Trigger point shall be when the Tier-1 Capital is less than 5.125% of the Risk Weighted Assets, g) Such conversion shall be into the promoter shares, Looking at the provision, it seems that NRB is allowing BFIs to increase capital to increase their risk appetite by issuing shared to the institutional investors.
