    Soft Due Diligence: Increasingly I am being asked to participate as an integration expert in Due Diligence Kickoff sessions. This brings me joy as it allows the client to strategize and shape the integration process beforehand instead of facing issues post-acquisition. Giving equal attention to both hard and soft due diligence significantly boosts integration success. Hard due diligence concentrates on verifiable data, soft due diligence is not and therefore harder to conduct. Understanding the functioning of individuals and what motivates them is just as crucial as ensuring that the numbers and records are organized and correct. How can soft due diligence add to the success of an integration? 🔹 It helps in recognizing intangible elements that can significantly impact the outcome of the acquisition. By having additional information, you can improve decision-making and adjust your integration strategy accordingly. 🔹 It allows to evaluate the fit between both organizations. Understanding cultural background, values, and communication methods are essential for promoting successful teamwork and minimizing conflicts later on during integration.. 🔹 It helps to identify potential risks that may not be immediately evident in the hard due diligence. By assessing the culture, leadership and communication effectiveness, you can identify warning signs or red flags. This allows for proactive risk management in the integration plan. 🔹 This initial stage is crucial and the beginning of developing a strong and mutually beneficial relationship. By prioritizing the evaluation of relationships and communication styles, the joint companies can identify potential areas of synergy and alignment. Ultimately, this could make the difference and can give you competitive advantage in comparison to a traditional Due Diligence. What is your opinion?     Veritux is pleased to welcome Sam Abiad. Sam brings over 20 years of management experience in leading sales and operations organizations with multiple Fortune 500 companies. He has managed key sales business processes, including strategy, business development, and execution. Sam began his career in operations management at Ford Motor Company working in material planning and logistics before transitioning to media and joining NBCUniversal where he worked at implementing various systems and operational improvements within Sales, Finance, Research, and Technology. Sam then focused on Ad Sales when he joined Univision Communications first as a VP in Commercial Operations and ultimately as the SVP for Ad Sales Strategy and Operations. In this role, he designed, developed, and implemented a set of Advanced Advertising capabilities that included audience-based buying on TV, addressable advertising through connected TVs, TV attribution modeling, a self-serve tool to automate the process of buying media, in-content virtual advertising, and interactive advertising elements. He is a graduate of Wayne State University where he earned an MBA in Management.

    Veritux is pleased to welcome Elie Naoum. Elie's career consists of public sector consulting, Big 4 management consulting, and software development. After his MBA, Elie started his consulting career with a boutique-public sector firm in Washington, DC named AOC Solutions. After projects with the Department of Transportation and Department of Defense, Elie pursued an opportunity to join Barclays Capital as a Business Analyst in New York City. To make his return back to Cleveland, Elie joined EY's Advisory practice working in the Enterprise Risk group supporting various industries with internal controls and process design, business area reviews, and testing risk management/internal audit frameworks. During his 7 years at EY, Elie also worked on projects in the Performance Improvement group leading finance/digital/back-office transformation, post-acquisition integration, and system implementation projects. After over 10 years of consulting experience, Elie took the leap into the startup space, joining a Cleveland-based real estate investment fintech company named Fund That Flip. Later rebranded as Upright, Elie was able to establish Business Operations, Project Management, and Product Strategy teams to help the startup mature and expand their internal capabilities. Work aside, Elie is born and raised in Cleveland, Ohio, lifelong wrestler, and someone who grew up at his dad's hip in their family owned gas station. Elie likes to step into the abstract, collaborating with others to develop a strategy and put an action plan into place to drive results. He's open to discussing any industry and project type, leaning on his diverse experience and ability to flex where needed.

Peter has over 25 years experience in management consulting, primarily in procurement and supply chain, but also in business strategy and operational improvement. His industry experience includes mining, diverse manufacturing, diverse services, utilities, and financial services. He has worked overseas extensively, including Australia, Latin America, Europe, Africa, and Canada, and has worked professionally in German and Spanish. He has significant experience in mining procurement and mine construction, and has worked with several large clients on front-line construction productivity improvement. He contracts through his entity, DecisionPoint, Inc. DecisionPoint, Inc. just celebrated its 25th anniversary since founding. Peter has founded or co-founded several startups including an early 3PL focused on the US truckload marketplace, risk management and market analysis for real estate investors, and development of a nanoparticle-based magnetic material. He is currently associated with Axtom Technologies, a company developing a "robo negotiation" platform to create value in tail spend sourcing through automation and AI. He has been in the alt data space and published two articles in the Wilmott Journal evaluating the relationship between corporate hiring behaviors and stock price. He has several patents related to logistics and portfolio optimization. Peter has worked as an election official in Henrico County, Virginia, since 2020. In connection with a family member who is on the autism spectrum, he has developed significant insight into the challenges faced by non-neurotypical people and people with psychological disabilities. He is an avid but plodding bike rider. Peter lives with his family in Glen Allen, Virginia, and is open to interesting projects anywhere on the globe.
