The office provides global, integrated resources to local, national, and international companies with key capabilities in corporate and transactional, banking and asset finance, employee benefits, litigation, real estate, and tax. Our Corporate lawyers provide sophisticated services in mergers and acquisitions, private equity transactions, mezzanine finance, securities, and capital markets. Our Private Equity Transactions practice is one of the most active in the Southeast, serving firms and funds based throughout the United States. Our lawyers who focus on securities represent public companies in a broad range of capital market transactions, as well as in periodic reporting and corporate governance matters.

Our Finance team represents commercial mortgage-backed securities mortgage portfolio servicers, master servicers, trustees, and borrowers in a variety of financing transactions and routinely represents banks, investment funds, and private equity firms in loan portfolio acquisitions and workouts. Our lawyers also represent regional, national, and international bank and nonbank lenders and borrowers in a variety of debt finance matters, including senior secured and unsecured syndicated and bilateral credit facilities and asset-based loans for dividend recapitalizations, leveraged buyouts, and working capital needs.

The Charlotte office's Benefits and ESOPS lawyers help large employers design, document, and administer all types of qualified and nonqualified retirement plans; deferred compensation plans; incentive and equity compensation plans; and medical, disability, and severance plans. They provide advice in connection with mergers and acquisitions, executive agreements, the Internal Revenue Service, the Department of Labor, Pension Benefit Guaranty Corporation, the Securities and Exchange Commission, and the Centers for Medicare and Medicaid Services regulatory matters, as well as Employee Retirement Income Security Act of 1974 (ERISA) matters. Our lawyers also work with companies to freeze or terminate defined benefit plans and implement consumer-driven health care plans.

Our lawyers handle complex and class action litigation, successfully representing clients in product liability, financial services, ERISA, securities, lender liability, construction, and environmental litigation.

Our Real Estate lawyers represent clients in all areas of the industry, including development, finance, leasing, joint ventures, public-private developments, environmental, and land use, as well as acquisitions, equity investments, and mixed-use and planned development matters. Our Environmental, Land, and Natural Resources lawyers analyze the risks of developing and leasing particular sites and provide advice on a range of environmental issues.

Our Tax lawyers support our other practices and serve clients with specific tax issues, including tax controversies. Our Estate Planning and Trusts & Estates lawyers assist our clients in planning for and implementing wealth transfers, as well as in connection with estate administration.
