    The UK CMA's latest draft merger guidance confirms how it will be able to use its incoming jurisdictional tests to cast a wide net and catch a broad range of deals under its new DMCC Act merger control powers.     The question as to how price parity clauses (or MFNs) will be dealt with under the law surrounding ancillary restraints has been an open question in competition law for some time. In September, the Court of Justice handed down its judgment (on a referral from the Amsterdam District Court) in a dispute involving Booking.com. The judgment makes clear that it will now be difficult for either wide or narrow price parity clauses to qualify as ancillary restraints for the purposes of competition law (on the basis that such clauses do not appear to be objectively necessary or proportionate to the objective of providing online hotel reservation services). This does not mean, however, that there are no circumstances in which the implementation of price parity clauses will be lawful under relevant competition laws.     Earlier this year, the Supreme Court had announced that it had dismissed RusChemAlliance (RCA)'s appeal in UniCredit -v- RusChemAlliance, as a result of which the Court of Appeal's final anti-suit injunction was upheld, restraining RCA from pursuing court proceedings in Russia in breach of a Paris-seated arbitration agreement in bonds issued by UniCredit. The Supreme Court handed down its full judgment on 18 September 2024, which reaffirmed the English courts' willingness to hold parties to their agreement to arbitrate in respect of both domestic and foreign-seated arbitrations. The Supreme Court determined the governing law of the arbitration clause by applying the decision in Enka -v- Chubb but acknowledged that the Arbitration Bill 2024 would change the position under Enka, if enacted as expected.
