    The Ardonagh Group is pleased to announce PSC Insurance Group Limited shareholders have voted in favour of its proposed acquisition by Ardonagh.   Combining the best of PSC and Ardonagh will strengthen the Group’s global position in the retail, specialty and wholesale broking markets to deliver greater scale and efficiency benefits to clients, insurers, brokers and agencies.   David Ross, CEO of The Ardonagh Group welcomed the overwhelming support from PSC shareholders. He said: “The support from PSC shareholders highlights the sound rationale in merging these two leading businesses.     Many congratulations to the Ride4Life team on their incredible 112km ride around Cascais as they took the annual charity event on tour in collaboration with our colleagues at MDS Group in Portugal. Since its inception in 2016, the ride has raised over £80,000 for incredible causes and this year was no different. The 11-strong Lycra-clad team put power to pedals, all to raise funds for newly established Portuguese charity MovSaúde - Associação pela Prevenção da Doença Oncológica, whose mission is to improve treatment for digestive and colorectal cancers and support for those affected. With the 2024 team comprised of Ardonagh colleagues from Ardonagh businesses across the UK, Arachas Corporate Brokers Ltd in Ireland and MDS Group in Portugal, the international team raised over £10,000 thanks to the generosity of supporters and our Group charity, ACT.     Last week, we united across The Ardonagh Group and right around the world for our annual fundraising event, Give Back. This year we joined together as one Group behind a single global cause, our charity partner, Médecins Sans Frontières (MSF). Give Back might be once a year, but day in and day out MSF's network of 50,000 people are operating in 70 countries and often in regions where other organisations simply cannot or will not go. On the day, our people took part in our Miles for MSF challenge, completing a mile in any way, with our Group charity, ACT (Ardonagh Community Trust) making a donation for taking part, alongside fundraisers ranging from a charity concert at MDS Group in Portugal with their very own band, the Ardonagh Advisory team hiking to the Sycamore Gap, RiskSTOP directors dunked in water, and Envest barbeque events in Australia. Our ACT team even broadcast a very special live Radio Ardonagh show from the Médecins Sans Frontières/Doctors Without Borders (MSF) UK and Ireland offices in London, with members of the MSF team joining on air. Together, thanks to our people and to ACT... - £70,000 raised, including colleague efforts and match funding from ACT. - 7,000 miles completed in our Miles for MSF challenge, and enough to travel from London to New York and back again! Meaning overall this year, we have raised a spectacular £117,000 for MSF, far surpassing our goal of £100,000, and which equates to building and kitting out two inflatable hospitals, including the building structure, surgery kits, wound dressing supplies, antibiotics and oxygen. The impact of the money goes far beyond the medical aid it enables, but also the lives, families and communities it touches.     Today, on International Day of Charity, we are celebrating our annual fundraising event, Give Back. Give Back is a special date in our Ardonagh calendar, when we unite across the Group and around the world in the spirit of collective action and in support of communities in need. To date, and thanks to the incredible efforts of our people and Group charity, ACT (Ardonagh Community Trust), we have raised £850,000 for over 350 charities worldwide. This year is a little different, as we join together as one Group to get behind one cause, our global charity partner, Médecins Sans Frontières (MSF). An international force for good, with community at heart, we launched our partnership with MSF at the start of this year – with the aim of raising £100,000. Alongside our people, today we seek to reach that goal. Our businesses and teams, in Australia, Brazil, Ireland, Germany Greece, Netherlands, Portugal, the UK – and beyond – are rallying behind MSF, taking part in our Miles for MSF challenge, leading fundraisers ranging from concerts to hikes, and getting involved in our very own Radio Ardonagh show broadcasting from the Médecins Sans Frontières/Doctors Without Borders (MSF) UK and Ireland office in central London.     The Ardonagh Group today announces completion of the merger of our retail lines business, Atlanta Group, with Markerstudy Group, marking the creation of a major new player in the UK insurance market. A party related to Ardonagh will retain a substantial minority equity stake in the combined business. Group Chief Executive David Ross said: "We're proud to have supported Ian and his team to reach this milestone. Autonet joined us as a digital van insurance specialist with £130 million in premium, 550 people and exceptional leadership. It became Atlanta and now joins Markerstudy, adding £1 billion of premium across several product lines, more than 2,000 colleagues and the same exceptional leadership. We're delighted to remain part of the journey as a shareholder and to support Markerstudy's growth in this new chapter." Today we wish farewell and all the best to our Atlanta colleagues in this exciting new journey. We also pay thanks for their instrumental role in building the unique culture of Ardonagh and growing the impact of our charitable arm, ACT. Giving back to the local community has been at the core of Atlanta’s ethos from the very beginning.     Each quarter, our Group charity, ACT (Ardonagh Community Trust), awards Community Grants to causes nominated by Ardonagh colleagues around the world. At the halfway point of 2024, ACT awarded its second round of grants of the year, with 12 causes receiving a total of £48,800 in funding – taking the total of grants to date to an incredible £900,000 for over 200 charities across the globe. This quarter's grants range from horticultural training to support women who have spent time in prison, to palliative care courses for a community hospice, and improving diversity and access to theatre.     To date, ACT, our independent Group charity, has supported over 200 causes around the world ACT grants, totaling over £900,000 , and all connected to our Ardonagh people. Earlier this year, ACT had the opportunity to award a grant to Projecto Grão de Areia in Rio de Janeiro, after being nominated by MDS Group colleague, Jorge Ribeiro who had seen the difference it makes on the sands of Rio. What started as a small beach football group has expanded to five of Rio's municipalities, providing free sessions to young people across the city. Now, thanks to the ACT grant, a new location has been established at Copacabana beach, complete with some very recognisable team kit.     Throughout the year, we join together to mark awareness dates that connect to aspects of equity, diversity and inclusion (ED&I). Today is International Day of Families, which we are celebrating for the first time across Ardonagh. There is no single lived definition of 'family'. Each of us have our own unique and personal understanding of it. We asked our people to share what family means to them, creating this image which illustrates the diversity in definition of this simple word. Today, we've also been privileged to hear from colleagues across the Group who have shared their own personal insights into their experiences of family from a range of perspectives. Stories reflected on navigating loss and grief, fertility journeys, the changing attitudes to LGBTQ families, and the impact of illness. To pay thanks, our Group charity, ACT, has donated £3,500 to causes special to the colleagues who shared their accounts.     The Ardonagh Group today announced it has entered into a Scheme Implementation Deed to acquire all of the issued ordinary shares in the Australian-headquartered PSC Insurance Group Limited.   PSC is a diversified insurance services group which has over 40 trading brands and operations in Australia, United Kingdom, Ireland, Hong Kong, Vietnam, New Zealand, and Bermuda employing 900 people and managing more than A$2.59 billion in global gross written premium.   Ardonagh intends to merge PSC’s Australia and New Zealand with Envest, becoming one of Australia’s largest privately owned insurance distribution platforms, placing A$3.3 billion in gross written premium annually.   Commenting on the announcement, Group Chief Executive David Ross said: “The acquisition, which has secured the unanimous recommendation of PSC’s board, is a significant milestone in the global growth of Ardonagh and underlines our strong commitment to the markets we serve.   “Ardonagh has been assembled as a bastion of independence and scale, aligning high calibre businesses and management teams around quality advice for clients and entrepreneurial connectivity within the group.
