Professional boards are necessary for ensuring transparency and competent oversight of state- and municipality-owned companies (SOEs and MOEs), therefore current political initiatives suggesting their abolishment in Latvia are short-sighted and should focus on improving the quality of board composition instead, says Andris Grafs, Vice President Latvia of the Baltic Institute of Corporate Governance, in a commentary to the news agency LETA, published by TV3 Group Latvia: “Their current size, e.g. having just 2 supervisory board members in some of the largest SOEs, remains below the optimal standard and does not follow the principles of the Organisation for Economic Co-operation and Development. Supervisory board composition should also be better aligned with the industry, size, and complexity of each company. And the proportion of civil servants serving as supervisory board members needs be reevaluated, as well as policies regarding situations when C-level executives from SOEs are holding supervisory board positions in other SOEs, including SOEs under the same shareholding ministry.
