We are thrilled to announce that Urmika Tripathi will be speaking at the Singapore Global Restructuring Initiative (SGRI) Conference held in Singapore on 30-31 July 2024. Urmika Tripathi is a Senior Associate at AZB & Partners, a leading Indian law firm and specialises in corporate insolvency and debt restructuring. She regularly advises insolvency professionals, creditors, bidders and debtors on market leading transactions under India’s insolvency regime. In her previous stint as a Legal Analyst (Asia) at REDD Intelligence, her work involved analysing key legal and regulatory developments in the restructuring and distressed space in Asian emerging markets such as India, Indonesia and China with a special focus on analysing cross-border insolvency related issues in restructuring of high-yield distressed debt issuers in these markets. She has completed INSOL International’s Global Insolvency Practice Course and is a Fellow of INSOL International. Her research on insolvency laws of Asian emerging economies has been published and recognised on several platforms globally. INSOL India Seminar 2024: Navigating the Insolvency and Restructuring Landscape The INSOL India Seminar 2024 in Bengaluru commenced with an insightful panel session on Turnaround Strategies, session moderated by Ms.Saloni Thakkar Partner, AZB & Partners along side with our esteemed panelist Mr. Kriti Mohan Ghosh MD, Edelweiss Alternative Assets Advisors Limited Mr. Satish Kumar Gupta Banking and Management Expert, Stressed Asset Professional Mr Shreyas Jayasimha Founder, Aarna Law Mr. Tushar Choudhary Chief Investment and Strategic Officer, UVARCL Kriti Mohan Ghosh emphasized the importance of identifying stress early by focusing on: - Enterprise Function: Investor assessment, human resource management, and efficient management and finance teams. - Operations: Monitoring cost trends and cash flow issues. - Strategic Functions: Promoters' mindsets and robust capital expenditure planning. He stressed the need to stick to well-strategized plans. Satish Kumar Gupta highlighted stakeholder contributions, emphasizing: - Understanding case nuances. - Initial chaotic encounters with corporate debtors. - The reluctance of bankers to provide interim finance. - The importance of stabilization, measurable monitoring, and building trust with creditors. Shreyas Jayasimha addressed litigation finance, stating: - The need for all stakeholders to align with strong leadership and risk appetite for successful turnarounds. - Criticism of labeling high-risk business behavior as fraudulent. - Advocacy for proper litigation finance to attract funding and ensure fair resolution processes. - The potential of mediation in insolvency, drawing lessons from other jurisdictions. Tushar Choudhary discussed the role of ARCs, noting that: - Recovery is not synonymous with turnaround. - ARCs should be viewed as critical tools for early intervention, not as a last resort. - He called for a shift in perception and regulatory encouragement for early ARC involvement. Stressed businesses are like melting ice cubes and some cubes melt faster than others. Turnaround is a long process and resolution is a part of it. In India, we tend to wait for the resolution to finish for turnaround to start, but if value needs to be preserved and maximised - stakeholders need to focus on business turnaround in parallel with a resolution (in insolvency or outside). The session concluded with a Q&A segment addressing recent cases and necessary regulatory changes. The panelists emphasized early stress detection, regulatory cooperation, and a shift in stakeholder mindsets to improve turnaround strategies. AZB & Partners represented ONGC Videsh Limited (OVL), a Schedule ‘A’ Navaratna Central Public Sector Enterprise, in a cross-border transaction of acquiring: (i) Equinor Apsheron AS’ participating interest (PI) in Azeri-Chirag-Deepwater Gunashli oil fields (ACG Oil Field); (ii) Equinor Apsheron AS’ shareholding in AIOC and GPC (both Cayman Island registered companies); and (iii) ONGC BTC Limited’s (ONGC BTC) acquisition of Equinor BTC Caspian AS’ shareholding in two companies – BTC Co. and BTCII (both Cayman Island registered companies) which was holding the Baku-Tbilisi-Ceyhan Pipeline asset (BTC Pipeline). OVL and ONGC BTC were existing PI holders/shareholders in the ACG Oil Field and BTC Pipeline and intended to raise its stake in the assets by providing an exit to Equinor.
