This question is at the heart of a German court case involving LAION, a non-profit organisation focused on open-source AI models, and photo producer Robert Kneschke. In our latest Tech Tuesday article, written by Thomas Kuster, we look at this court case and it's implications. This case is crucial for AI startups, as it addresses the legal boundaries of using copyrighted material to train AI models. The court is considering whether the text and data mining exception under German law applies to AI model training, which impacts whether scraping of copyrighted content for AI training is legal or not.     Welcome back to Friday for Founders! Today, we’re talking about Incorporation 🚀 Here’s what you need to know: Where should I incorporate? 👉 Incorporate where you do business to avoid double taxation. Tax differences in Switzerland aren’t worth the risk, especially for startups with limited revenue. You can always change your location later. When should I incorporate? 👉 Incorporate "as early as necessary, but as late as possible". This usually means after the idea stage when operations start. This is when liability risks arise, and incorporating will limit personal liability for the founders. What type of company should I incorporate? You have two options: 1) SA (AG): CHF 100,000 capital (at least CHF 50'000 must be paid in), anonymous shareholders. 2) Sàrl (GmbH): CHF 20,000 capital, publicly listed shareholders. 👉 For tech startups, and if possible, I advise incorporating an SA as it’s better suited for growth and preferred by investors who appreciate the anonymity. If an SA isn’t feasible, don’t worry—you can always convert your Sàrl into an SA later, but keep in mind that this comes with a cost. What is needed? ✔ Initial share capital: Usually in cash, but it can also be in-kind (e.g., contributing a patent, a trademark, etc.). ✔ Blocked bank account: If incorporating in cash, open this account as early as possible since this can take time. ✔ Address: The place where you will incorporate. This could be your own office or a C/O address from an office provider, coworking space, or your private residence. ✔  Signatories: At least one person with single signature rights for the company living in Switzerland. This framework simplifies legal issues by breaking them down into five areas: Corporate: Focuses on the internal organization of your business, including the type of entity, shareholder relationships, decision-making mechanisms, and financial distributions. Regulatory: Ensures that your business complies with government regulations, both industry-specific and general, such as data protection. IP (Intellectual Property): Protects your company's intellectual property, including patents, trademarks, and IP licensing. Contracts: Manages your external relationships through customer, supplier, and partnership agreements. HR (Human Resources): Manages your relationships with employees, freelancers, and board members, including contracts and compensation strategies. 🔍 What can you expect?     We had the pleasure of welcoming Ana Rocio Monzón Woc from Eversheds Sutherland's New York office, together with four students from the Universidad Francisco Marroquín in Guatemala, to our Zurich office yesterday! 🌟 During their stay in Switzerland, they want to meet attorneys and young professionals to expand their network and learn more about the Swiss legal market. They are particularly interested in innovative legal services and alternative career paths. Michèle shared her career journey before joining LEXR and highlighted what makes LEXR unique, both as a service provider and as an employer. We then enjoyed a casual pizza lunch 🍕 where the students had the chance to ask all their questions. It was a fantastic opportunity to connect and share knowledge with the next generation of legal professionals.
