#RexMinerals has entered into a Scheme Implementation Deed with its major shareholder MACH to acquire all of the shares it does not already own for cash consideration of A$0.47 per share. ·               The offer price implies a fully diluted equity value of A$393 million and represents a significant premium of: –              79% to Rex’s 30-day VWAP and –              98% to the 90-day VWAP ·               MACH’s offer price follows a competitive global partnering process and delivers Rex shareholders a certain outcome and an accelerated realisation of value. ·               The Transaction is subject to limited conditions including FIRB approval (which has been applied for) and Rex shareholder approval. The Transaction is not subject to financing or due diligence conditions. ·               The Rex Board unanimously recommends the Transaction in the absence of a superior proposal and subject to the independent expert concluding and continuing to conclude that the Transaction is in the best interests of Rex shareholders. Commenting on today’s announcement, Rex’s Chief Executive Officer and Managing Director, Richard Laufmann, said: “The Transaction provides certainty of value and a significant premium representing a 98% uplift relative to Rex’s 90-day VWAP, as well as the opportunity for Rex shareholders to realise their investment at a 10-year historical share price high. “This Transaction also represents a more certain outcome for wider stakeholders in Hillside, including the local community, the South Australian Government and Rex employees who will benefit from the significant financial strength and proven track record of MACH to deliver the successful development of Hillside.” Full details are available in today's announcement: https://lnkd.in/gTwDjNHk

#RexMinerals was very pleased to have its staff present at the Resources Industry Career Pathways to ~210 Year 10 students across eight regional schools on Yorke Peninsula and the Mid North, South Australia. #LachlanCole (Chief Geologist) and #ShuChen (Manager Operational Readiness) travelled over 1,000km in three days to visit these schools. They explained the resources industry from exploration to metal production, discussed diverse career pathways and opportunities, shared their personal career stories and job motivations, and most importantly, engaged with students who may become future leaders in our industry. These school career talks are part of a partnership between the Department for Education (DfE) and Rex Minerals, announced on May 23, 2023. This initiative aims to assist students from the Yorke Peninsula, where Rex’s flagship Hillside Copper-Gold Project is located, in entering the resources industry. We greatly appreciate the support from Cherie Beech and Zyggy Kulesza (DfE Student Pathways and Careers), as well as the VET coordinators and teachers at each of the eight schools: Minlaton District School, Central Yorke School, Port Broughton Area School, Kadina Memorial School, Moonta Area School, Yorketown Area School, Ardrossan Area School, and Balaklava High School. We look forward to continuing our collaboration with the DfE, schools, and Hillside Project partners in supporting regional students to pursue their future career aspirations. #RexMinerals (ASX:RXM) has executed a non-binding Letter of Intent (LOI) with Nittetsu Mining, a Japanese public company with global mining experience, to establish a Joint Venture in respect of the Company's wholly owned Hillside Copper-Gold Project in South Australia. Rex's CEO, Richard Laufmann, said: "Nittetsu holds corporate values and objectives that complement Rex's ambition to fund and develop Hillside.
