The Corporate Counsel provides sophisticated legal services and legal advice to The Wolff Company (including its sponsored equity funds and its affiliates Revel Communities, LLC and Wolff Construction, LLC) directly via in-house resources as well as through top-quality outside counsel, in furtherance of the Company’s legal and business objectives. In accomplishing this mission, the Corporate Counsel focuses on minimizing legal risk to the Company and its investors while at the same time streamlining the legal process to enable each department of the Company to achieve its business goals.

Responsibilities

  • Transactional support.
  • Provides legal advice to the development and transaction teams and supervises outside counsel in the negotiation of transaction documents (including purchase and sale agreements, loan documents, leases, and related ancillary documents) while confirming conformance with the Company’s approved deal structure and risk profile.
  • Deploys strong organizational and communication skills to produce transaction activity on budget and within established, tight, timeframes; manages various transaction participants, transaction calendars, and competing third party expectations.
  • Prepares for and facilitates successful and smooth closings of acquisitions, dispositions and financings.
  • Provides legal guidance and support on post-closing development matters related to escrow agreements, easements, joint development agreements and related documents.
  • Educates and trains the development and transaction teams to understand correct deal structure and objectives and legal limitations in order to minimize legal risks to the Company.
  • Legal Compliance.
  • Ensures compliance with applicable federal and state securities laws; privacy laws and the like.
  • Educates and trains investor relations and business teams to understand applicable requirements.
  • Engages competent outside counsel to provide compliance oversight.
  • Keeps abreast of current regulatory developments and measures to ensure continual compliance.
  • Communicates compliance requirements clearly and effectively.
  • Litigation Management
  • Oversees and manages all active litigation cases.
  • Provides general strategy and advice to achieve the Company’s litigation objectives.
  • Maintains litigation budgets and ensures efficiency.
  • General corporate support.
  • Provides accurate and effective general corporate legal advice and services to the Company including with respect to all contracts and agreements including non-disclosure agreements, service contracts, and any other contracts.
  • Provides legal support for asset management and property-level directives and concerns including retail leasing matters.
  • Coordinates and manages the Company’s intellectual property registrations and legal defense thereof.
  • Provide legal support for matters concerning Company-owned aircraft including acquisition, disposition, and financing transactions.
  • Management of legal department and outside counsel
  • Coordinates, manages and cultivates relationships with outside counsel as needed to accomplish the Company's objectives.
  • Continually audits outside counsel to ensure competent legal services at a reasonable cost.
  • Supervises and coordinates the efforts of the Company’s Sr. Managing Paralegal and Legal Secretary

Requirements

  • A JD degree from an ABA accredited law school·
  • Membership in good standing with a United States state bar including maintaining annual education and other requirements
  • 7 or more years of real estate transactional work experience at a top-tier law firm or in-house legal department
  • Proficiency and confidence in executing and managing real estate contract negotiation, diligence and closings
  • Strong understanding of both the real estate industry and the interplay between legal and business risk
  • Ability to understand business needs, demonstrate sound judgment, and formulate solutions
  • Ability to effectively work with, and reach resolution with, all personality types, both internally and externally, including demanding and challenging counterparties
  • Strong time-management skills and experience managing multiple fast-paced projects simultaneously, and under pressure
  • Exceptional analytical and creative problem-solving skills
