Job Purpose

Reporting to the Deputy Company Secretary, this role will support the Board and ensure that the company meets its responsibilities under the UK Listing Rules and UK Corporate Governance Code as well as maintaining the highest standards of corporate governance. This role involves providing advice to the Entain plc Board and Executive Committee on corporate governance matters and best practice as well as assisting with the end-to-end governance processes for the Board and Board committee meetings, supporting the Group’s subsidiary companies’ programme and ensuring compliance with statutory and regulatory filings.

Key Responsibilities

  • Assist in the preparation and distribution of agendas, papers, and minutes for Board meetings and Board committee meetings.
  • Attend Board and committee meetings, ensuring accurate minute-taking and timely distribution of minutes.
  • Maintain up-to-date records of Board and committee decisions and actions, following up on action items to ensure completion.
  • Support the induction and ongoing training of directors, ensuring they are informed about their duties, responsibilities, and the company’s operations.
  • Support the Group Company Secretary in ensuring the company’s compliance with UK Listing Rules, DTR requirements (including the drafting of market announcements), the UK Corporate Governance Code, Company Law and other relevant regulations.
  • Assist in the development, implementation, and review of corporate governance policies and procedures.
  • Monitor changes in relevant legislation and the regulatory environment and take appropriate action.
  • Provide advice and guidance to the Board and senior management on corporate governance matters.
  • Support the Group Company Secretary with the drafting of corporate governance disclosures in the Annual Report & Accounts.
  • Assist in the preparation and submission of statutory returns and filings to Companies House and other regulatory bodies.
  • Ensure that the company’s statutory registers and records are maintained accurately and up to date.
  • Work closely with the Deputy Company Secretary to simplify the corporate structure and ensure mandatory data is accurately maintained in the Company’s corporate database.
  • Support the management of the company’s compliance with the Market Abuse Regulation (MAR), including insider lists and the disclosure of inside information.
  • Assist in the planning and organisation of the AGM, including the preparation of notices, resolutions, and other relevant documentation.
  • Coordinate logistics for the AGM, ensuring compliance with legal and regulatory requirements.
  • Support the management of shareholder communications and engagement.
  • Assist in the management of shareholder records and communications, ensuring accurate and timely responses to shareholder queries.
  • Liaise with registrars and other service providers to ensure efficient and effective shareholder services.

Key skills & qualifications:

  • Demonstrable experience in a company secretarial or governance role within a UK listed company, preferably a FTSE 100 company.
  • Qualified Chartered Company Secretary (preferred), (ICSA/CGI) or equivalent legal qualification.
  • Strong knowledge of UK company law, corporate governance, and regulatory compliance requirements.
  • Excellent organisational and administrative skills, with a high level of attention to detail.
  • Strong written and verbal communication skills, with the ability to produce clear and concise reports and minutes.
  • Ability to build effective working relationships with directors, senior management, and external stakeholders.
  • High ethical standards and integrity, with a commitment to maintaining confidentiality and handling sensitive information appropriately.
  • Proficiency in using governance and compliance software and tools.
